Position Summary

The Assistant General Counsel is responsible for providing senior management and business team members with effective, professional legal advice and counsel on a myriad of legal topics related to development, ranging from matters of real estate to construction law, and is directly involved in all business transactions and in negotiating contracts for the Company.

Position Responsibilities

  • Provides continuing counsel, guidance and recommendations on legal matters. Provides proactive professional advice on critical strategic and legal issues arising from business deals.

  • Serves as legal advisor on major business transactions, including closings, acquisitions, divestures and joint ventures.

  • Supervises work of / manages relationships with outside counsel.

  • Reviews, drafts and negotiates contracts with commercial vendors, design professionals and contractors and for the purchase, sale and lease of real estate.

  • Advises on legal aspects of the company’s financing, including negotiating loan documents, coordinating enforceability opinions and drafting of authority documents.

  • Participates in acquisition due diligence by reviewing and analyzing title and survey, land use restrictions and environmental matters.

  • Supports the development staff with general contract, regulatory compliance, and insurance and property management issues.

Skills and Experience

  • A Juris Doctorate from an accredited law school.

  • Licensed to practice law and in good standing with the State of licensure.

  • Admitted or willing to become admitted to the South Carolina bar.

  • Minimum of three (3) years’ experience in a law firm environment.

  • Three (3) to five (5) years of experience in real estate transactions and/or construction law.

  • Experience working on matters of corporate governance.

  • Demonstrated legal and ethical standing.
